Agency contract in Tunisia

Foreign investors who want to take full advantage of the numerous opportunities offered by the Tunisian market can do so through the conclusion of agency contracts with individuals of Tunisian nationality or with companies established under Tunisian law. Once the agency contract has been entered into in writing, a declaration conforming to the investment project, signed by the agent or sales representative, must be filed with the central administration of the Ministry of Commerce. Except in rare exceptions, it is forbidden to conclude agency contracts exclusively to ensure that competition rules are not undermined. As for the choice of applicable law, this is left to the freedom of the parties.
Therefore, if the foreign investor wishes to conclude agency contracts, must keep in mind that the Tunisian Commercial Code does not provide for any severance indemnity for the agent in the event of termination of the contract, unless otherwise agreed, while an indemnity of a compensatory nature only in the event of early termination of the contract for reasons not attributable to him, is provided.
